Introduction
These Terms of Service (“Terms”) govern access to and use of the Vital service (“the Service”), operated by Red One Corporation (“Red One”, “we”). By subscribing to or using the Service, the subscribing organization (“Customer”) agrees to these Terms.
The Service
Vital monitors Customer-authorized email mailboxes, classifies incoming messages using AI, sends SMS alerts for high-priority items, and prepares draft replies (the “Awareness” capabilities). Additional capability modules may be offered over time, separately or as part of a plan. Features and plan limits are described on our pricing page and may change over time.
Accounts & authorization
To use the Service, a Customer administrator must grant the required Microsoft 365 admin consent. The Customer represents that it is authorized to grant such access for the mailboxes it enrolls and to permit the processing described in the Privacy Policy. The Customer is responsible for its users’ actions and for maintaining the confidentiality of its accounts.
Acceptable use
The Customer will not use the Service to violate any law, infringe rights, or attempt to access data belonging to other customers. We may suspend access for conduct that threatens the security or integrity of the Service.
Fees & billing
Subscription & activation. Inbox monitoring begins only after the Customer starts a paid subscription; there is no free trial. Plans are priced per active mailbox (seat), and plan limits (monitored mailboxes, monthly message volume) are enforced by the Service.
Billing cycle & proration. Subscriptions renew monthly and are billed in advance. Billing is anchored to the first day of each calendar month: when you subscribe (or add a mailbox) partway through a month, the partial period through the next 1st is prorated and charged at that time, and you are then billed on the 1st for the mailboxes you have. Adding or removing mailboxes adjusts your charge with proration.
30-day money-back guarantee. If you are not satisfied, you may request a full refund of all amounts paid within 30 days of your first payment; we will refund the full amount and end the subscription. After that window, fees already paid are non-refundable except as required by law or as we otherwise agree.
Cancellation & payment method. You may cancel at any time; your subscription remains active through the end of the current billing month, after which you will not be billed again. You authorize recurring charges to your payment method on file and are responsible for keeping it current.
Data
Our processing of email and personal data is described in the Privacy Policy, which is incorporated into these Terms. The Customer retains all rights to its data; we claim no ownership of mailbox content.
Third-party services
The Service relies on third parties (including Microsoft, Anthropic, Twilio, and Stripe). We are not responsible for outages or changes in those services, though we work to minimize their impact.
Disclaimers
The Service is provided “as is.” Email classification and draft generation are automated and may be imperfect; the Customer remains responsible for reviewing alerts and any messages it sends. We do not guarantee that every important email will be flagged.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our aggregate liability is limited to the fees paid for the Service in the 12 months preceding the claim.
Termination
Either party may terminate per the subscription terms. On termination, mailbox access is revoked and Customer data is deleted per the Privacy Policy’s retention terms.
Governing law
These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-laws rules.
